1. Agreement to Terms
By accessing or using Korvel's website and services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.
2. Description of Services
Korvel provides software engineering consulting services, including but not limited to product engineering, platform development, security audits, and technical consulting. Specific services are defined in individual client agreements.
3. Intellectual Property
Unless otherwise specified in a client agreement:
- Work product created for clients belongs to the client upon full payment
- Korvel retains rights to general knowledge, skills, and techniques
- Pre-existing materials remain property of their respective owners
- Open source components are subject to their respective licenses
4. Confidentiality
We treat all client information as confidential. We will not disclose your business information, technical specifications, or project details to third parties without your explicit consent, except as required by law.
5. Limitation of Liability
To the maximum extent permitted by law, Korvel shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to our services.
6. Indemnification
You agree to indemnify and hold harmless Korvel, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your violation of these terms or your use of our services in an unauthorized manner.
7. Termination
Either party may terminate the service relationship with 30 days written notice, unless otherwise specified in a client agreement. Upon termination, all outstanding fees become immediately due, and all confidentiality obligations survive.
8. Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
9. Dispute Resolution
Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
10. Changes to Terms
We reserve the right to modify these terms at any time. We will notify clients of material changes via email. Continued use of our services after changes constitutes acceptance of the new terms.
